Parent Spreadex Ltd
UK-founded spread-betting and sportsbook firm. Spreadex Ltd is UKGC-licensed and FCA-authorised (FRN 190941), privately held by Jonathan Bruce. 2023: bought Sporting Index’s B2C arm as a completed merger (no advance CMA filing). CMA found a monopoly in licensed UK sports spread betting. First sale order (Nov 2024) was quashed by the CAT on 4 Mar 2025. Remittal again required a sale; final undertakings accepted 3 Oct 2025. Spreadex then lost a second CAT appeal (19 Mar 2026) and the Court of Appeal refused permission on 5 Jun 2026. No buyer is named. Sporting Index Limited is still Active at Churchill House, St Albans (Spreadex’s address) as of the 12 Aug 2026 confirmation statement. The CMA case was still Open on 12 Jun 2026.
Launched 1999 as a sports and financial spread-betting house, then a fixed-odds book. 2023–26: Sporting Index acquisition, CMA inquiry, CAT remittal, second sale order, undertakings, further appeals. They delayed a sale. They have not publicly completed one.

Sanctions / record
2023 Completed acquisition of Sporting Index B2C — not notified in advance. Spreadex bought Sporting Index’s consumer business as a completed merger. The CMA investigated after the fact. Completing first is legal under UK merger control; it is also why hold-separate orders and an eventual forced sale become the remedy instead of blocking the deal at the door.
2025-03-04 CAT quashed the first CMA sale order. 22 Nov 2024 the CMA’s Phase 2 report required a sale. On 4 March 2025 the Competition Appeal Tribunal quashed that SLC finding and the remedy and remitted the case. That is why no sale happened in 2024–25: the first order was legally dead.
2025-10-03 CMA accepted final undertakings to sell — sale not completed. After remittal the CMA again found a UK sports-spread monopoly (19 Sep 2025) and on 3 Oct 2025 accepted final undertakings from Spreadex, Spreadex.Com Limited and Sporting Index to divest the B2C unit. Reuters the same day: Spreadex agreed to sell. No buyer is named on the CMA page. Case still Open as of 12 June 2026.
2026-06-05 Court of Appeal refused permission — sale still pending. Spreadex appealed the second CMA report. CAT dismissed every ground on 19 Mar 2026 and refused permission to appeal on 28 Apr 2026. The Court of Appeal refused permission on an expedited basis on 5 June 2026 (published 12 June). A CMA remedy group (Anne Fletcher chair) was appointed 1 May 2026. Companies House still shows Sporting Index Limited (02636842) active at Churchill House, Upper Marlborough Road, St Albans — Spreadex’s campus. Last confirmation statement 12 Aug 2026. They did not ‘get away with it’; they delayed a sale through two tribunal rounds. They still have not publicly completed one.
2025-05-15 UKGC — Spreadex Limited £2 million. Spreadex Limited £2m, 15 May 2025. Separate from the 2022 £1.36m action and from the CMA Sporting Index file.
2022-08-25 UKGC — Spreadex Limited £1.36 million. Earlier Spreadex AML/SR package, 25 Aug 2022.
